About These Terms
These Terms & Conditions form the agreement between Limitless Web Co. (“we”, “us”, “our”) and the person or business engaging us (“you”, “your”, “Client”).
They apply whenever you accept a quote, place an order, sign up for an ongoing plan, or otherwise engage us to provide services. You should read them alongside any specific quote, proposal or invoice we send you — if anything in a quote conflicts with these terms, the quote will take precedence for that engagement.
By proceeding with any of our services, you confirm you have read, understood and agreed to these terms.

Definitions
- “Services” means any service we provide, including website design and development, hosting setup, ongoing plans (Care, Grow, Scale), the AI Bot add-on, the Limitless SEO Snapshot, and any related work agreed in a quote.
- “Quote” means the written summary of services, scope and fees we provide before engagement — whether by email, Facebook Messenger or another written channel.
- “Website” means the website (and any related pages, code, assets and configurations) we build for you under a Quote.
- “Ongoing Plan” means one of our three annual maintenance and SEO subscriptions: Limitless Care, Limitless Grow, or Limitless Scale.
- “AI Bot” means the AI assistant add-on we configure and host on a Website.
- “Approval” means your written confirmation (including by email or Facebook Messenger) that the Website is ready to launch.

Our Services
We offer custom website design and development for Australian businesses. Our standard website packages are Starter, Growth and Premium. We offer three annual Ongoing Plans — Limitless Care ($297/year), Limitless Grow ($1,497/year), and Limitless Scale ($4,997/year), each covering progressively more maintenance, SEO and growth work. We also offer the AI Bot add-on, and our productised audit service the Limitless SEO Snapshot. Specific inclusions, page counts, revision rounds and timelines for your engagement are set out in your Quote.
We may decline to take on any engagement at our discretion — for example, where the requested work is outside our skill set, conflicts with another client, or where we don’t feel we’re the right fit.

Quotes & Engagement
Quotes are valid for 30 days from the date issued, unless we tell you otherwise in writing. Pricing displayed on the website (including EOFY or other promotional pricing) is indicative and confirmed only when a Quote is issued.
An engagement starts when you accept the Quote in writing — including by replying with a clear “yes”, “let’s go”, “sounds good, proceed” or similar in any written channel we’re communicating in. From that point, the scope, fees and timeline in the Quote apply, together with these terms.

Pay When You Love It
No upfront payment is required unless otherwise agreed in writing. The Client reviews the completed demo before payment is due. Payment becomes due once the Client approves the website, requests launch, or begins using the website.
Here’s how it works in practice:
- We build the Website to the scope set out in your Quote.
- You review the demo and give feedback within the included revision rounds.
- Once you approve the Website, request launch, or begin using it, the agreed fee becomes payable.
After approval or launch. Once the Website is approved, launched or used by the Client, any further changes are treated as additional work unless included within an active ongoing plan.
The guarantee covers the agreed scope of your Quote. If you ask for changes that go beyond that scope — new pages, a redesign in a different style, additional features — we’ll quote those separately and the original guarantee continues to apply only to the original scope.
If the Client chooses not to proceed before approval, no website build fee is payable. However, any third-party costs already purchased at the Client’s request — such as domains, software, plugins, stock assets or external services — remain payable and non-refundable.

Fees & Payment
All prices are in Australian dollars. Where GST applies, it will be shown clearly on your invoice.
Unless agreed otherwise:
- Website project fees are invoiced at Approval and payable within 7 days of the invoice date.
- Ongoing Plan fees (Care, Grow, Scale) are billed annually in advance, starting on the plan’s commencement date.
- AI Bot setup fees are payable at Approval; the annual maintenance fee is billed in advance.
Our preferred payment method is Australian bank transfer. Other methods may be available on request — any associated processing fees may be passed on.
Non-payment and suspension. We reserve the right to suspend hosting, ongoing plans, AI Bot services, website access or ongoing support for overdue accounts until payment is received. We will make reasonable attempts to contact the Client before suspension. Invoices unpaid for more than 30 days may also attract reasonable late-payment interest.

Revisions & Scope
Each Website package includes a set number of revision rounds, as listed on the Pricing section of our website and confirmed in your Quote. A “round” means a consolidated set of feedback addressing the existing scope — not piecemeal changes drip-fed over weeks.
Changes that fall outside the original scope — for example, adding pages, switching design directions, integrating new third-party services or significantly expanding functionality — will be quoted separately. We’ll always discuss this with you before doing the work.

Your Responsibilities
To keep your project moving and on time, you agree to:
- Provide your content (text, logos, photos, brand assets) in a workable format and within agreed timeframes.
- Make sure any content you provide is accurate, owned by you (or properly licensed), and doesn’t infringe anyone else’s rights.
- Respond to feedback requests within a reasonable time — usually within 7 days.
- Tell us promptly about anything that affects the project, including changes to your business, branding or contact details.
If your project is delayed by more than 30 days through no fault of ours (for example, content not provided), we may pause the engagement and invoice for work completed to that point. We’ll always reach out before doing this.
Inactive projects. If a project remains inactive for more than 60 days due to lack of Client communication, content or approvals, we may archive the project and require a restart fee before work resumes.
Estimated timeframes are approximate only and may be affected by project scope, client response times, content supply, revision requests, third-party providers or circumstances outside our reasonable control.
Legal compliance. The Client is responsible for ensuring their Website content, policies, marketing practices and business operations comply with all applicable laws, regulations and industry requirements.

Intellectual Property
Your content stays yours. Logos, photos, copy and brand assets you provide remain your property. By providing them, you give us a licence to use them as needed to deliver your Website and related services.
Ownership before payment. All source code, design files, development assets, draft concepts and unpublished work remain the property of Limitless Web Co. until paid in full.
Ownership after payment. Once full payment has been received, the Client owns the final approved website content and front-end website files supplied as part of the agreed project scope.
What we retain. Limitless Web Co. retains ownership of internal systems, reusable code frameworks, templates, workflows, hosting configurations and development processes used to deliver the service.
Third-party assets stay governed by their own licences. This includes things like web fonts (e.g. Google Fonts), stock images, icon libraries, plugins and the underlying frameworks — you receive the same right to use them that the licence allows.
Portfolio rights. We may showcase the work we do for you (screenshots, summary description, link to the live site) in our portfolio, case studies, social media and marketing materials. If you’d prefer we didn’t, just let us know in writing and we’ll remove it.

Ongoing Plans — Care, Grow & Scale
We offer three ongoing plans: Limitless Care ($297/year), Limitless Grow ($1,497/year), and Limitless Scale ($4,997/year). All prices exclude GST. Plans are billed annually in advance and start when the Website is launched (or, where there is no website build, on the date the plan is purchased).
- What each plan covers. Inclusions are listed on the Ongoing Plans section of our website. Care covers hosting, security, backups and basic site maintenance. Grow adds Google Business Profile management, local citations, and maintenance-level SEO activity. Scale adds active SEO content creation, backlink outreach, AI Bot integration, and monthly strategy work.
- Cancel anytime. You can cancel any plan at any time. Cancellation takes effect at the end of the current billing year — we don’t pro-rate or refund unused portions.
- 30-day cancellation window. If you cancel within 30 days of first sign-up, we’ll refund the unused portion of your annual fee, less any work already completed at our standard hourly rate.
- Included work doesn’t roll over. Monthly inclusions on Grow and Scale (content updates, GBP posts, blog posts, backlink outreach) don’t carry into the next month if unused.
- Additional work. Work beyond your plan’s inclusions is billed at our standard $90/hour + GST rate, quoted on request before work begins.
- Pricing changes. We may adjust plan pricing with at least 30 days’ written notice before your next renewal. If you don’t want to continue at the new price, you can cancel before renewal with no further charge.
- Upgrading and downgrading. You can upgrade or downgrade between Care, Grow and Scale at any time. Upgrades take effect immediately with pro-rated billing. Downgrades take effect at the next renewal.
- SEO outcomes are not guaranteed. Grow and Scale plans include SEO activity. SEO is a long-term activity and ranking outcomes cannot be guaranteed by any provider. See Section 22 for our full SEO terms.
Reasonable use. All plans are intended for reasonable ongoing maintenance, content updates and SEO activity. We reserve the right to refuse excessive, abusive or commercially unreasonable requests that fall outside normal ongoing website work, or to scope these as separate paid projects.
If you cancel a plan, you become responsible for arranging your own hosting, domain renewal and ongoing maintenance for the Website. We’ll help you transition wherever we reasonably can.
Backups after cancellation. Following cancellation, the Client becomes responsible for maintaining backups, security updates and ongoing website maintenance unless otherwise agreed in writing.

AI Bot Add-On
The AI Bot is an optional add-on with a one-time setup fee and a monthly fee. The monthly fee covers third-party AI provider costs and basic maintenance.
- Outputs are not guaranteed. AI systems can occasionally produce inaccurate or unexpected responses. We train the bot on the information you provide, but you remain responsible for monitoring its outputs and letting us know if anything needs to be corrected or updated.
- Third-party dependencies. The AI Bot relies on services provided by third parties. If those providers change pricing, terms or availability, we may need to adjust the service or its fees with reasonable notice.
- Cancellation. You can cancel the AI Bot at any time. The bot will be disabled at the end of the current billing month.
- Outages. We’ll do our best to keep the bot running smoothly, but we don’t guarantee uptime where issues are caused by third-party AI providers, hosting issues outside our control, or your own changes to the Website.

Hosting & Third-Party Services
Websites we build are hosted on Cloudflare’s global edge network. We may use other reputable third-party providers for specific functionality (forms, analytics, fonts, payment processing, etc.).
While these are best-in-class providers, we don’t control them and can’t guarantee their uptime, security or pricing. Where a third-party service is essential to your Website, we’ll let you know and recommend the best option.
Security responsibility. While we apply reasonable security practices, no website or online service can be guaranteed completely secure. The Client is responsible for maintaining secure passwords, limiting account access appropriately and notifying us promptly of suspected security issues.
If domains, hosting plans or other third-party accounts are set up in your name, you remain the account holder. If they’re set up under our account on your behalf, the cost is included in your ongoing plan or invoiced separately, and we’ll work with you to transfer them out if you ever leave.

Performance & Outcomes
While Limitless Web Co. builds websites designed to improve presentation, credibility, visibility and lead generation, we do not guarantee specific search engine rankings, traffic levels, enquiries, sales, revenue or business outcomes. Results can be affected by market conditions, competition, client activity, advertising spend, SEO investment and third-party platform changes.
We build Websites using current industry best practice for speed, mobile responsiveness, security and search-engine readiness. Where SEO is included in your package, we apply on-page SEO fundamentals (page structure, metadata, semantic markup, performance optimisation).
However:
- Search engine rankings depend on many factors outside our control, including competitor activity, search engine algorithm changes, your industry, location and ongoing content efforts.
- Lead generation also depends on factors like your offer, market demand, pricing and the quality of your follow-up — not just the website itself.

Australian Consumer Law
Nothing in these terms excludes, restricts or modifies any consumer guarantees, rights or remedies you may have under the Australian Consumer Law or other applicable Australian laws that cannot be excluded.
To the extent permitted by law, where our services come with a non-excludable consumer guarantee and we breach it, our liability is limited (at our option) to:
- re-supplying the affected services; or
- refunding the fees you paid for the affected services.

Limitation of Liability
Subject to the Australian Consumer Law and any other rights you have that can’t be excluded:
No warranties. Except as required under Australian Consumer Law, all services are provided on an “as is” and “as available” basis without warranties of any kind, express or implied.
- Our total liability to you for any claim arising out of or in connection with these terms or our services is limited to the fees you have paid us in the 12 months immediately before the event giving rise to the claim.
- We are not liable for any indirect, special or consequential loss — including loss of profits, loss of revenue, loss of business opportunities, loss of goodwill or loss of data — even if we were aware such loss was possible.
- You agree to indemnify us against any third-party claim arising from content, materials or instructions you have provided to us, where that content infringes someone else’s rights or breaches the law.

Confidentiality
We’ll treat any non-public information you share with us during an engagement as confidential, and use it only for the purpose of delivering your services. You agree to do the same with any non-public information we share with you (such as our pricing structures, processes or proprietary methods).
Confidentiality doesn’t apply to information that is already public, becomes public through no fault of either party, or that we’re required to disclose by law.

Privacy
We handle personal information in accordance with the Privacy Act 1988 (Cth) and the Australian Privacy Principles. We collect only what we need to deliver your services and respond to enquiries — typically your name, contact details, business information and the content of our communications.

Termination
Either party may end an engagement by written notice if the other party materially breaches these terms and fails to fix the breach within 14 days of being notified.
If termination happens before Website Approval, no Website project fees are payable (per the Pay When You Love It guarantee), but any third-party costs already paid on your behalf remain payable.
Ongoing plans and the AI Bot can be cancelled at any time as set out in their own sections above.
Termination doesn’t affect any rights or obligations that have already accrued — for example, fees owing for completed and approved work.

Force Majeure
Neither party is liable for delays or failures caused by events outside reasonable control — such as natural disasters, major outages of essential third-party services, government action, public health emergencies, or serious illness. The affected party will let the other know as soon as reasonably possible and the parties will work together in good faith to manage the situation.

Changes to These Terms
We may update these terms from time to time. The current version is always the one published on this page, and the “Effective from” date at the top will reflect the latest update.
For active clients, we’ll let you know about any material changes by email or another channel we use to communicate with you. Continuing to use our services after a change means you accept the updated terms.

Governing Law
These Terms are governed by the laws of Victoria, Australia, and both parties submit to the jurisdiction of Victorian courts.
22
SEO & Search Marketing Services
22.1 — Best-efforts service, not guaranteed outcomes. SEO and search marketing services we provide are activity-based, best-efforts services. We do not guarantee specific search engine rankings, traffic levels, lead volumes, or conversion outcomes. Search engine algorithms (including Google’s), competitor activity, and broader market conditions are entirely outside our control. Any provider who guarantees specific Google rankings is misleading you.
22.2 — Realistic timelines. Most clients see meaningful ranking improvements after three to six months of consistent SEO work. Highly competitive industries or service areas may take nine to twelve months or longer. SEO is not a quick-results service and we will not represent it as such.
22.3 — Delivery timing. Initial setup work (Google Business Profile, Search Console, sitemap submission, on-site audit, initial directory submissions) is delivered within 14 days of payment being received. Ongoing monthly activities (blog posts, GBP posts, backlink outreach, directory submissions) are delivered within each calendar month. Where a calendar month spans a public holiday or unavoidable absence, work may be deferred to the following month with notice.
22.4 — Billing. Yearly SEO plans are billed in advance. Quarterly billing options carry a small premium over yearly upfront payment, reflecting the additional administrative overhead. Payment is due before work commences. We may pause delivery if invoices are unpaid for more than 14 days.
22.5 — Cancellation. You may cancel an SEO plan at any time with no penalty. No refunds apply for already-completed work or the current paid period, but no further charges will be applied beyond the current billing cycle. We do not lock clients into long-term contracts.
22.6 — Ethical practices. We will not engage in practices that violate Google’s Webmaster Guidelines or other search engine policies. This includes paid backlinks from low-quality sources, content scraping, cloaking, doorway pages, hidden text, or AI-generated spam. We reserve the right to refuse any client request that would risk a search engine penalty or harm your site’s long-term standing. If you have engaged previous SEO providers who used such practices, additional remediation work may be required and quoted separately.
22.7 — Your ownership of all work. All content, optimisations, blog posts, directory listings, Google Business Profile improvements, and other assets created during your SEO engagement remain your property. We will not delete, alter, sabotage, or attempt to undo any delivered work after cancellation. You retain full access to all accounts created in your name.
22.8 — What you provide. Effective SEO requires accurate information from you, including (a) accurate business details, (b) access to existing Google accounts where applicable, (c) timely responses to questions or approvals, and (d) honest disclosure of any past SEO work, penalties, or paid links on the site. Where SEO outcomes are impacted by inaccurate or late information from you, we are not liable for the resulting delay or under-performance.
22.9 — Reporting. Monthly summary updates outline activities completed and notable ranking or traffic movements. These are summary updates, not exhaustive analytics reports. Detailed analytics reporting beyond the standard summary is available on the Limitless Scale plan or as separately quoted ad-hoc work.
22.10 — Liability. Without limiting any other clause in these Terms, our maximum aggregate liability arising from any SEO services is limited to the total fees paid by you for SEO services in the 12 months preceding the claim. We are not liable for indirect, consequential, or speculative losses (including lost profits, lost traffic, or lost business opportunities), even where we have been advised of the possibility of such losses.
Plain-English summary of this section: SEO works, but slowly and without guarantees. We do honest work, we don’t do anything dodgy, and we don’t lock you in. You own everything we create. If results take longer than hoped, that’s the nature of SEO, not a failure of our service.
23
Limitless SEO Snapshot — Audit Service
23.1 — What it is. The Limitless SEO Snapshot is a one-off productised audit of your website and Google Business Profile, delivered as a branded PDF report. It includes a technical SEO audit of your site, a Google Business Profile review, a local SEO and directory check, a short competitor snapshot, a content gap analysis, and a prioritised list of ten to fifteen specific recommendations.
23.2 — Price. The current price is AUD $147 plus GST per audit. Price may change for future audits but the price quoted at the time of your order is the price you pay.
23.3 — Delivery timing. We commit to delivering your Snapshot PDF to your nominated email address within 48 hours of payment being confirmed. The 48-hour window applies during business hours, Monday to Friday. Orders received on a weekend or Australian public holiday will be delivered by end of the next business day. If we ever miss the 48-hour SLA without notice, you may request a full refund.
23.4 — What you provide. To deliver a useful audit we need (a) your website URL, (b) your Google Business Profile URL or screenshots of your GBP dashboard if your listing is not yet public, (c) the names and URLs of up to three competitors you would like benchmarked, and (d) any specific concerns or questions you would like the audit to address. We are not liable for delays or limitations in the audit arising from incomplete information you have provided.
23.5 — Scope and limits. The Snapshot is a focused 60 to 90 minute analysis of your publicly available web presence. It is not a substitute for ongoing SEO work, a full website rebuild, a paid penetration test, or a deep technical audit costing thousands of dollars. We do not access password-protected systems (Google Analytics, Search Console, your CMS, etc.) unless you specifically grant access and request that we use it. The audit provides recommendations only; implementation is your responsibility unless you separately engage us for it.
23.6 — Credit toward future packages. If you order any of our paid packages (Limitless Care, Limitless Grow, Limitless Scale, AI Bot standalone, or a full website build of $499 or higher) within 30 days of receiving your Snapshot PDF, we will credit the full $147 you paid for the audit against your first invoice for that package. The 30 days begins on the date the PDF is sent to your nominated email. Only one Snapshot credit applies per business. The credit is non-transferable, non-stackable with other discounts unless we agree in writing, and has no cash value. To redeem, simply mention your Snapshot reference number when you order the package and we will apply the credit.
23.7 — Refund policy. The Snapshot is a service product, not a physical good. Once we have completed the audit work and delivered the PDF, the service has been rendered and we do not offer refunds simply because findings are not what you hoped to see. However, if we materially fail to deliver the audit (missed the 48-hour SLA without notice, delivered something substantially inconsistent with the scope described in clause 23.1, or made significant errors of fact) we will either revise the audit at our cost or refund the full $147 at your election. Refund requests must be made in writing within 14 days of receiving the PDF.
23.8 — Your use of the audit. The PDF report is yours to use however you wish. You may share it with internal staff, advisors, contractors, or other agencies. You may use any specific recommendation in it freely. You may implement the findings yourself, with us, or with a third party. The audit itself is your property once delivered.
23.9 — Our use of anonymised findings. We may use anonymised, aggregated patterns observed across our audits (for example, “most small business websites we audit have meta descriptions missing on at least one page”) in our own marketing and educational content. We will never identify you or your business by name in this content without your prior written permission.
23.10 — No ongoing relationship. Ordering a Snapshot does not create an ongoing service relationship. The audit is a one-off engagement that ends when the PDF is delivered. You are under no obligation to engage us for any further work.
Plain-English summary of this section: $147 + GST for a real audit delivered as a PDF within 48 hours. If you take up one of our packages within 30 days, the $147 is credited back. You own the audit and can use it however you like. No ongoing obligation. If we mess up the delivery, we will fix it or refund you.
